Any jurisdiction requiring specialized licensing for tokenized offerings
Sanctioned or restricted regions
Nature of the Platform
RaiseHQ provides a technology infrastructure enabling:
Tokenized equity fundraising
Milestone-based capital release
Investor and founder identity verification
Digital ownership registry through blockchain
Buyback campaign execution using custodial wallets
RaiseHQ is not a broker, exchange, investment advisor, or financial institution.
We do not provide investment advice or guarantee funding outcomes.
User Eligibility
You must:
Be at least 18 years old
Have full legal capacity
Not be a resident of restricted jurisdictions
Complete KYC verification accurately
RaiseHQ may deny access at its sole discretion.
Account Responsibilities
Users agree to:

Platform Functionality
5.1 Digital Equity
Equity allocations are represented as non-transferable on-chain digital tokens, mapped to real ownership. These tokens:

Cannot be traded

Cannot be sold on secondary markets

Serve solely as digital representations of investment allocations
5.2 Smart Contract Escrow
Invested funds are held with regulated custodial partners until:

Milestones are met

Evidence is submitted

Investor thresholds are approved
RaiseHQ does not control fund release manually.
5.3 Buyback Campaigns
Startups may initiate buybacks by depositing capital into the RaiseHQ buyback wallet. Completion results in:

Token burning

Investor payout via custodial partner
5.4 Platform Fees
Fees may apply for:

Startup onboarding

Successful fundraising

Buyback execution

User Conduct
Prohibited actions include, but are not limited to:

Attempting to circumvent KYC

Providing false information
-
Manipulating token metrics
-
Interfering with smart contract logic

Reverse engineering platform infrastructure

Abusing or misusing RaiseHQ Wallet Infrastructure
RaiseHQ may suspend or terminate accounts that violate these terms.
Risk Disclosures
Users acknowledge the following risks:

Blockchain transactions may be irreversible

Smart contracts may contain unforeseen vulnerabilities

Digital equity does not guarantee liquidity

Startup investing carries inherent risk of loss

Milestone delays may impact fund release timelines
RaiseHQ is not liable for losses arising from market conditions or startup performance.
Custody & Fund Handling
Funds committed through RaiseHQ are held by regulated third-party custodial partners.
RaiseHQ:

Does not personally hold client funds

Cannot retrieve funds independently

Does not provide insurance coverage

Does not provide financial guarantees
Modification of Terms
RaiseHQ may update these Terms at any time. Continued use signifies acceptance of updated Terms.
Termination
RaiseHQ may suspend or terminate platform access for any violation of these Terms or for security-related reasons.
